PLEASE READ THESE TERMS CAREFULLY – THEY APPLY TO YOUR USE OF THE PLATFORM

We are Michal Blance Limited, with a registered office at Unit C35, First Floor, Carlinghow Mills, Bradford Road, Batley, England, WF17 8LL.

These terms and conditions ('Terms') govern your use of our asylum seeker platform ('Platform'), which enables authorised users to input or view already inputted information and personal data about particular asylum seekers who have arrived in the United Kingdom('Data').

By ticking in the checkbox for “I have read, understood & agree to the Terms & Conditions of Michal Blance Ltd Platform”, during SIGN UP, you agree to these Terms, which will bind you.

If you do not agree to these terms, untick the checkbox for “I have read, understood & agree to the Terms & Conditions of Michal Blance Ltd Platform”, during SIGN UP. However, please note if you untick the checkbox, you will not be granted access to the Platform, and you must not access or use, or seek to access or use, the Platform.

1. ELIGIBILITY

• The Platform is intended for use by employees of the Company and authorised third parties only. By accepting these Terms, you represent and warrant that you are an employee of the Company or of an authorised third party.

• Only third parties authorised in writing by the Company shall be entitled to use and access the Platform.

2. YOUR ACCESS TO AND USE OF THE PLATFORM

• You will be provided with a unique user ID and password to access the Platform. You are responsible for maintaining the confidentiality of your login credentials.

• You must use the Platform only for lawful purposes and under these Terms.

• You must not use the Platform for any illegal purpose or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, such as viruses, or harmful or knowingly false data, into the Platform or transmitting any material that is defamatory, offensive or otherwise objectionable.

• You must not use the Platform in a way that could damage, disable, overburden, impair, or compromise our systems or security or interfere with other users or their use of the Platform

3. INTELLECTUAL PROPERTY RIGHTS

• All rights, titles, and interests (including all copyrights, trademarks, and other intellectual property rights) in the Platform and the Data on it belong to us (or our licensors). You have no intellectual property rights in, or to, the Platform or the Data other than the right to use it under these Terms.

• We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform solely to carry out your duties within the context of your employment or engagement as an independent contractor with processing data in respect of, and/or assisting and supporting, asylum seekers in the United Kingdom.

• You must not reproduce, distribute, modify, disassemble, decompile, reverse engineer, or create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Platform, nor the Platform itself, except as necessary for your authorised use of the Platform, nor may you collect, harvest or make copies of any Data on the Platform.

4. CONFIDENTIAL INFORMATION

• All data on the Platform is confidential and is provided to you strictly on the basis that you agree to maintain its confidentiality.

• You agree not to disclose any confidential information, including any Data, which you are given access to on the Platform to any individual or third party other than as expressly permitted for carrying out your role in connection with processing data in respect of, and/or assisting and supporting, asylum seekers in the United Kingdom.

5. DATA PROTECTION AND PRIVACY

• You must comply with all applicable data protection laws and regulations, including the UK General Data Protection Regulation (UK GDPR), in your use of the Platform.

• You must not disclose any personal data obtained through the Platform to any third party without proper authorisation.

• You must promptly notify the Company of any breach of security or unauthorised use of your user ID and password.

• The Company reserves the right to monitor your use of the Platform to ensure compliance with these Terms.

6. GENERAL

• We do not guarantee that our Platform, or the Data on it, will always be available, accurate, error-free, uninterrupted, or secure. We do not accept any liability arising from any errors, omissions, interruptions, or delays or any ongoing obligation or responsibility to operate and provide our Platform (or any particular part of it).

• Where you are a controller and we act as your processor, we will process any personal data we hold for you as a processor, as that term is defined in UK GDPR. You must ensure that all data that you collect is processed under UK GDPR.

• We may amend these terms from time to time and will notify you of any changes.

• The Company may terminate or suspend your access to the Platform at any time, without notice, for conduct that the Company believes violates these Terms or is harmful to other users of the Platform, the Company, or third parties, or for any other reason.

• The Company will not be liable for any damages or losses arising from your use or inability to use the Platform or otherwise in connection with these Terms.

• These Terms and your use of the Platform are governed by English law, and any disputes relating to these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

BY CLICKING THAT YOU "ACCEPT" THESE TERMS, YOU CONFIRM THAT YOU ARE EITHER AN EMPLOYEE OF THE COMPANY OR HAVE BEEN GIVEN EXPRESS AUTHORITY TO ACCESS THE PLATFORM. IF YOU ARE IN ANY DOUBT AS TO WHETHER OR NOT YOU HAVE THE AUTHORITY TO ACCESS THE PLATFORM, YOU MUST OBTAIN APPROVAL FROM YOUR SUPERVISOR.
